Tyre or Tire?:
Whether the word derives from "attire", or as others suggest, from the verb "to tie", both spellings of tire and tyre were historically accurate in Southern Cynocephali. After briefly dying out, the spelling 'tyre' was revived with the invention of pneumatic tyres, with many continuing to use tire for the iron variety. The spelling 'tyre' has entered Cynoceph English and is now the accepted spelling.

Our Tyres
The nanotechnology used by APEX TYRES to make the compounds delivers better thermal stability, less heat dispersion due to friction and, consequently, lower fuel consumption and reduced CO2 emissions. The elimination of highly aromatic oils, which are potentially harmful to both people and to the environment, has also made manufacturing processes safer, as well as reducing their impact on our environment. In conjunction with Gévaudan Green Energy we have developed our environmental policy from a global ecological viewpoint: through the use of materials which aren’t derived from petroleum, to integrated solutions for the manufacturing processes which take the impact on the environment into account.

A/B-C
A: Nominal section width (NSW) expressed in mm
B: Nominal external diameter expressed in mm
C: Nominal rim diameter of the rim, expressed in inches
Tyre Suffix:
The tyres are described by a combination of letters (e.g.; DSS, WH)
The first letter defines the type of tread:
D - dry (for use on dry roads)
W - wet (for use on wet roads)
The second letter(s) defines the hardness of the final compound used, that may be:
H - HARD
M - MEDIUM
S - SOFT
SS - SUPERSOFT

The APEX Tyres Standard Conditions of Sale form part of every sale by APEX Tyres. By placing an order for any products the purchaser (You) acknowledge that the products purchased will be subject to the conditions set out below. You acknowledge that you have read the conditions set out below prior to placing any order for products. A contract for sale on the conditions is formed when APEX Tyres accepts your order.

The descriptions, illustrations and performances contained in our trade price list and other advertising material issued by APEX Tyres do not form part of the contract for sale of the products or of the description applied to the products.

All accepted orders will be invoiced at prices current at the date the order is accepted by APEX Tyres. Prices shown in our trade price list include taxes, however You agree in addition to the listed price to pay any taxes relevant to the importation of the order.

Products may not be resold unless prior agreement is reached with APEX Tyres.

Payment for products

Payment is required in full before any APEX Tyres products will be shipped.

Delivery, title and risk

Despite any other provision of the Conditions, risk in the products passes to You when the products are delivered. APEX Tyres reserves the right of full ownership of the products until all accounts owed by You to APEX Tyres are fully paid.

Return of Products

Return of products supplied in error by APEX Tyres will be accepted providing that notification of the error is given to APEX Tyres within five (5) APEX Tyres ordinary business days of delivery. In such case, return will be at APEX Tyres cost utilising the nominated carrier of APEX Tyres.

Return of products correctly supplied in accordance with Your written order, will only be accepted under the following conditions:

a. return authorisation must be requested from APEX Tyres within five (5) business days of delivery;

b. return authorisation must be granted by APEX Tyres

c. returned product/s must be received by APEX Tyres within five (5) business days of return authorisation being granted;

d. freight charges, both inwards and outwards, shall be at Your cost;

e. product/s must be received by APEX Tyres in good condition (credit will not be approved for damaged products).

Where product/s are returned pursuant to the above, APEX Tyres will grant a credit of the net invoice price. No cash refund will be payable to You for these product/s returned.

Warranty

Should any tyre and/or tube distributed by APEX Tyres and bearing APEX Tyres identification marking:

a. develop a fault in material or manufacture within a reasonable period from the date of sale to You ; or

b. which fault in APEX Tyres' opinion may prevent reasonable service of the original tread life being obtained by the end-user,

then provided such product is returned to APEX Tyres, APEX Tyres will either:

c. repair the product without charge; or

d. make such allowances to the purchaser (either You or the end-user) by way of reduction, offset in the price for a new APEX Tyres product or partial or full refund (at APEX Tyres' sole discretion), taking into consideration the service rendered by the product prior to the fault developing.


APEX Tyres will not consider any claim for replacement, repair or allowance pursuant to the warranty given above unless;

a. You supply any further information as APEX Tyres may reasonably request;

b. the APEX Tyres identification marking is still on the product;

c. the product has been paid for in full by You; and

The warranty does not cover damage caused by:

a. products fitted to non-standard wheels or rims (using E.T.R.T.O. specifications);

b. damage by accident, road hazards or vehicle mechanical faults;

c. use on a rim or wheel out of alignment, damaged or rusty;

d. improperly inflated tyres or tyres inflated with substitutes for air or nitrogen;

e. substitutes or modified equipment of any kind not recommended by APEX Tyres;

f. use in association with a valve not recommended by APEX Tyres;

g. use to carry loads beyond the maximum limit recommended by APEX Tyres;

h. tyres altered, reprocessed or repaired in any way;

i. illegal activity; or

j. use in any form of motorsporting competition, testing or speed record purposes.


APEX Tyres will be the final arbiter of fact as to the cause of any fault.

Management of Warranty Claims

You must inspect the products immediately upon delivery and, except as provided in clauses above, or as required by law, no other claims will be recognised.

Limitation of Liability

APEX Tyres liability for breach of contract, negligence or otherwise in respect of the products or supply of the products is limited to the replacement of the products or supply of equivalent products.

Without limitation APEX Tyres is not liable for consequential loss or damages however arising.

APEX Tyres makes all reasonable efforts to ensure the accuracy of the product specifications set out in Price Lists. However, any deviation from any of these things does not cancel any contract with You or form grounds for any claim against APEX Tyres.

APEX Tyres makes all reasonable efforts to have the products delivered to You on the date agreed. However, APEX Tyres is under no liability whatsoever, even where APEX Tyres is at fault, if delivery is not made on this date.

General

These conditions apply despite any arrangements under which we provide credit to You and to the extent there is an inconsistency, the Conditions prevail.

These conditions record the entire understanding of the parties about the subject matter and supersede all previous agreements, understandings or representations. To the extent any clause of the Conditions is void or unenforceable it will be severed from the contract for sale, but the remainder of the contract will remain in force.

The laws of Southern Cynocephali apply to the Conditions and APEX Tyres and You agree that any proceeding in respect of a dispute arising out of the Conditions or the products must be commenced in the Courts of Southern Cynocephali.

No variation to the Conditions is effective unless in writing and signed by a Director of APEX Tyres. No representative or agent has any authority to vary these conditions. These conditions prevail over all conditions of the buyer’s order to the extent of any inconsistency.

Except for the purposes specified in the Conditions, nothing in the Conditions creates any agency or partnership or joint venture between You and APEX Tyres.


APEX Tyres operates 11 tire plants, including facilities in Šede Island, Pazhujebu (Kagdazka and Pazhujebu) and Milan, San Pellegrino Romana. Each plant has multiple capabilities depending on its place in the manufacturing chain. Facilities include tyre manufacturing plants, steel tyre wire cord plants, chemical plants, mold plants, aviation retread plants, mix plants, hose plant, and textile mills. APEX Tyres operates two research and development facilities and technical centres (with attached proving grounds), the first in Brienne, Southern Cynocephali and the other in La Maddelena, Southern Cynocephali. CELER1 Performance

  • Developed for the most powerful sports cars in production, it withstands the intense use and high temperatures generated in extreme use.
  • In extreme conditions, typical of racetrack driving, it reacts with precision to commands. On dry asphalt, even in the most demanding of sessions the CELER1 P ensures high levels of grip and constant trajectories.
  • CELER1 P is not recommended for use in very wet track conditions. In the event of very wet asphalt, with the risk of aquaplaning, prudent driving at reduced speed is recommended.

CELER1 Rain

A carved tyre designed specifically for competitive use on wet surfaces.

  • The CELER1 R specific carving with longitudinal and transverse grooves enables maximum efficiency in the expulsion of water from the tread in contact with the ground and reduces the possibility of aquaplaning to an absolute minimum.
  • The connection between the longitudinal and the curved transverse channels enables the expulsion of water both at the front – through the large longitudinal channels – and at the sides – by means of the curved transverse channels – which collect the water from the central areas of the footprint and convey it outwards, discharging it at the sides of the contact patch.
  • Compared with CELER1 S, thanks to the choices of external profile and structure, the CELER1 R tyres have a larger footprint in the direction of movement to increase the resistance to aquaplaning.

A road racing tyre with low void ratio for optimum dry grip

Ideal for road racing, track days and high performance vehicles, the JUX P is a next-generation street legal (in most countries) competition tyre from APEX Tyres. In competitive racing, the JUX P’s improvements in casing and tread design improve dry performance while maintaining wet traction and control. This is achieved through the directional tread pattern which provides excellent aquaplaning resistance for a tyre which could be classed as 'semi-slick'. High and hard filler and high ply turn-up, with a steel side-ply on larger sizes, ensure immediate steering response with minimal sidewall deflection to maximise the contact patch under hard cornering. The rounded tread shoulder provides smooth transition from straights to turn-in whilst the wide tread shoulder blocks are designed so there is minimal tread squirm for maximised dry grip & decreased irregular shoulder wear.

Motorsport radial for optimum wet tarmac performance

The JUX R is a motorsport radial designed to provide circuit racers with a competitive edge in wet / rainy conditions. The JUX R was developed as a match for the JUX S radial slick. These tyres utilise a directional "M" shape tread pattern, 6mm tread depth and a super-soft tread compound that provides high grip levels at the relatively low operating temperatures experienced in wet/rainy conditions. Designed for closed circuit use on wet tarmac, as a partner with the JUX S (dry slick tyre).

The compound used in the JUX R is relatively soft so it reaches optimum operating temperatures quickly and provides high grip levels on wet tarmac. The high, hard filler & high ply turn-up and steel side-ply ensure immediate steering response and minimal sidewall deflection to enable maximum grip under hard cornering conditions. The shaped directional tread pattern with 6mm original tread depth is what facilitates the JUX R's exceptional resistance to aquaplaning and suitability for use in heavy rain.

The JUX S is a slick motor sport radial, initially developed with a focus on durability for endurance racing, but its versatile tread compound gives this tyre a competitive performance for a wide range of dry tarmac motor sport applications. Despite the durability of the compound, it is still able to achieve operating temperature quickly. The JUX S shares the same features and base construction as the JUS R.

The JUX D is designed specifically for racing classes where street legal tyres are mandatory. The new silica tread compound provides race-winning levels of traction over a wide temperature range. The combination of this tread compound and the asymmetric tread pattern also provides safe performance and efficient water drainage on public roads in wet conditions. The casing utilizes a near radial carcass, a steel side-ply & wide steel belts for high-speed stability at competition inflation pressures and a wide footprint with even distribution of contact pressure.

The silica reinforced tread compound warms up rapidly and provides high levels of traction over a wide temperature range. The JUX D has a large contact patch; pressure is distributed evenly across the contact patch due to the steel side-ply, radial carcass casing construction. F1 - VELOX SERIES

VELOX SERIES

It is easy to forget that tyres are still a race car’s biggest single performance variable. An average car with good tyres can do well, even very well, but with bad tyres even the very best car does not stand a chance.

Race tyres and road tyres are - at best - distant cousins. An ordinary car tyre is made with heavy steel-belted radial plies and designed for durability - typically a life of 16,000km or more. F1 tyres are designed to last for, at best, 200 kilometres and like everything else on the car they are constructed to be as light and strong as possible. As a result the VELOX tyres utilise an underlying nylon and polyester structure in a complicated weave pattern designed to withstand far larger forces than road car tyres, which in F1 can mean anything up to a tonne of downforce, 4g lateral loadings and 5g longitudinal loadings.

The VELOX is constructed from a revolutionary rubber compound which offers the best possible grip against the texture of the racetrack, and the 'softness' or 'hardness' of this rubber compound can be varied according to the known characteristics of each track. The actual softness of the tyre rubber is varied by changes in the proportions of ingredients added to the rubber, of which the three main ones are carbon, sulphur and oil. As a general rule, the more oil in a tyre the softer it will be.

VELOX intermediate and wet-weather tyres have full tread patterns, necessary to expel standing water when racing in the wet. The tread patterns of VELOX tyres have been mathematically designed to scrub the maximum amount of water possible from the track surface to ensure the best possible contact between the rubber and the track.

VELOX tyres are designed to (and operate best) when filled with a nitrogen-rich air mixture, designed to minimise variations in tyre pressure with temperature.

DRY TYRES
The tyres for dry weather, known as slicks, have a tread that is devoid of grooves or channels and come in four versions: supersoft, soft, medium and hard.
The different compounds are designed to be well-suited to a wide range of tracks, depending on the track surface, the number, camber and severity of the corners and the speed of the straights.
SS- The softest tyre in the range, it is designed to provide peak performance on slow and twisty circuits. This tyre gives lots of grip, over just a few laps. It's a unique compound and different from the rest of the VELOX range. The exceptional amount of grip available is surprising although it is at its peak for only a limited number of laps.
S- Used on circuits with comparatively low levels of tyre degradation. Most suitable for qualifying and for short stints during a race. Achieves temperature quickly, relatively durable for a soft compound providing good balance and grip.
M- Commonly used during the race, this is a versatile compound designed to work well in a wide range of conditions and is well suited to circuits with varying characteristics. Reliable, consistent and durable it naturally does take a little longer than the softer compounds to reach the optimum operating temperature range.
H- A tyre designed to provide the maximum endurance in the toughest conditions. Taking longer to reach its peak operating temperature than a softer tyre, it is best suited to longer stints.


WET TYRES
The wet tyres, which are characterised by grooves in the tread pattern, come in two types: full wet tyres, for rain, and intermediates.
The wet tyres have deep grooves in them, with channels designed to expel water on full wet asphalt. Intermediates have more shallow grooves, for damp or slightly wet surfaces, as well as mixed conditions.
I- With light grooves to disperse water this tyre has a reduced contact patch and less grip on a dry track. The design does not cope well with heavy rain, but provides optimum grip in changing conditions, or when rain is isolated to one part of the track.When the rain is heavy, drivers will switch to wet tyres. This tyre however does disperse an exceptional amount of water for an intermediate tyre, and the soft compound reaches temperature relatively quickly.
W- With deep grooves similar to a road tyre, the wet tyre can expel more than 65L of water per second at 300kph. Suited for wet and extremely wet conditions, the tyre provides optimal grip in the wet and long durability.

The grip and tread rigidity doesn’t come from big tread blocks as the Pulchra dB has small ones. Due to the newly produced compound used on the Pulchra dB, at a micro level the rubber doesn't distort like a normal tyre and it doesn't produce as much heat or energy loss. The asymmetrical tread design provides economy for users as it can be rotated to both sides of the vehicle to even out feathered wear from heavy braking keeping the tyre quieter and to help it last longer. Under usual road use the SYR 88 provides good road holding features on dry and wet roads. Steering response and traction are ensured in all conditions. The self-supporting run flat technology makes it possible to continue travelling safely in the event of a puncture or a loss of pressure; in the event of a puncture it can travel up to 140km at a maximum speed of 95km/h. This is achieved through specific elastomeric reinforcements inserted in the sidewalls which support the weight and the transverse forces of the vehicle even with a flat tyre. The reinforced sidewall supports the vehicle load at zero pressure, which provides an overall enhancement of the safety level, as car control is retained whilst driving on a deflated tyre. The continuous ribbed design ensures high pattern stiffness, as well as handling and noise reduction. AVIATION TYRES




Aircraft operating conditions require a wide variety of tyre sizes and constructions. The modern aircraft tyre is a highly-engineered composite structure designed to carry heavy loads at high speeds in the smallest and lightest configuration practical. Despite this, APEX Tyres often finds that tyres are often one of the most underrated and least understood components on the aircraft. The general consensus is that they are “round, black, and dirty,” but in reality, they are a multi-component item consisting of three major materials: steel, rubber and fabric. By weight, an aircraft tire is approximately 50% rubber, 45% fabric, and 5% steel. Taking this one step further, there are different types of nylon and rubber compounds in a tire construction, each with its own special properties designed to successfully complete the task assigned.

The manufacturing process requires the precision assembly of tight-tolerance components and a curing process under carefully controlled time, temperature and pressure conditions. Quality assurance procedures ensure that individual components and finished tires meet specifications.

APEX aircraft tyres are based on cutting-edge belt construction; this unique structural design provides four key benefits:

APEX offers a wide range of aircraft tires suitable for general aviation, commercial and military use. All APEX radial and newer bias tyres utilise the centre rib pattern (CB) for aircraft tyres. This pattern consists of ribs in a circumferential direction and is characterized by excellent wear resistance, improved braking, and added directional stability. A rib deflector tread (CD, RD) is also available, which was was developed for rear-engined jet aircraft. A flange is provided on the sidewall to deflect runway water away from the engines.

APEX Aviation Tubes

APEX's aviation tubes provide durable and dependable performance which can be relied upon in almost any operating condition. Made with advanced materials, the aviation tubes offer extended air retention and can easily sustain temperatures as low as - 50°C. APEX's advanced butyl compound provides resistance to air pressure loss through diffusion. The valve stems feature reliable metal valve collars and consistent performance throughout the life of the inner tube. Tube lubricant is factory applied to the tube exterior for easier installation and to help minimize foldover after installation and inflation. In addition, molded vent ridges help channel trapped air back to the valve stem for easy release. The tube splice is located opposite the valve stem for better balance, and the circular extrusion process during manufacturing means there is no circumferential splice, hence fewer joints and uniform material thickness for optimised reliability. Finally, the metal valve cap with rubber seal protects against dust, water and microparticle infiltration.


COMMERCIAL AVIATION TYRES

The CA-1 family of tyres, CA-1 and CA-1X is the best aviation tyre APEX manufactures. It offers a number of exclusive features designed to improve performance and extend tire life, starting with two new specialized rubber compounds. The sidewall compound is optimised to provide maximum ozone and ultraviolet light protection, while the tread compound is our toughest. In addition, the new inner liner provides a protective cushion over the casing plies which guards against inner tube chafing. The special bead construction reduces movement between the tire and the wheel for improved lateral stability.

The CA-1X is designed for commerical operations, and is the pinnacle of our aviation tyre research and design. The CA-1 tyre has many of the same features found on the CA-1X but is suited for general aviation operations. Like the CA-1X, the CA-1 offers exceptional balance, a new sidewall configuration and an extra strong nylon casing. It also features the same resilient tread compound for long life, and a specialized sidewall compound to protect against ultraviolet light.

As you might expect, CA-1 tyres are not inexpensive, but high quality products rarely are.

The flexible casing is more flexible than similar casings in bias tyres, which results in smoother operating characteristics during taxiing, landing and takeoff. This also has the effect of reducing the wear on the aircraft during these high stress operations.

SUPPLY AGREEMENT

This Supply Agreement ("Agreement") is made as of the date signed (the "Effective Date") between APEX TYRES, a company with an address at 4890 Rennes-les-Bains Ave, Indica, Southern Cynocephali ("Party-1"), and FORZA AUTOMOTIVE, a company with an address at 10 Espada Avenue, Fremantle, Tierra del Sol, United Coronado ("Party-2").
This Agreement describes the sale of APEX TYRES (Party-1) Deliverables to FORZA AUTOMOTIVE (Party-2).


Party-1 and Party-2 therefore agree as follows:
1. DEFINITIONS.
(a) "Deliverables" means the products described in this Agreement.
(b) "Government Authority" means any governmental authority or court, tribunal, agency, department, commission, arbitrator, board, bureau, or instrumentality of Southern Cynocephali or any other country or territory, or domestic or foreign state, prefecture, province, commonwealth, city, county, municipality, territory, protectorate or possession.
(c) "Law" means all laws, statutes, ordinances, codes, regulations and other pronouncements having the effect of law of any Government Authority.

2. DELIVERABLES.
Party-1 agrees to provide the following Deliverables: APEX Tyres products as per attached schedule (matrix)

3. FORECASTS AND PURCHASE ORDERS.
(a) Forecasts and Purchase Orders Overview. Forecasts based on attached matrix. Party-2 may place Purchase Orders if required in addition to the Forecast. Each Purchase Order must specify the quantity of Deliverables ordered, the required delivery date and the shipping address. The delivery date must give Party-1 at least 30 days after the date of Party-1's receipt of the Purchase Order to make delivery of the Deliverables.

4. OWNERSHIP, TITLE AND RISK OF LOSS.
Ownership of, title to, and risk of loss for the Deliverables passes to Party-2 upon Party-2's receipt at its designated facility for delivery.

5. FEES.
Except as expressly stated in this Agreement, there are no additional fees, charges or expenses incurred. In consideration for Party-1's performance under this Agreement, Party-2 agrees to pay Party-1 as follows: See matrix attached. Party-1 shall invoice Party-2 for the following percentages of the fee quarterly.

6. WARRANTIES.
(a) Warranties by Party-1. Party-1 represents, warrants and covenants to Party-2 that:
(i) Warranty Length. For a period of two (2) years after receipt, the Deliverables conform to the requirements of this Agreement, are free from any defect in material and workmanship, and are free of all liens, claims and encumbrances of any kind.
(b) Disclaimer. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, PARTY-1 AND PARTY-2 EACH MAKE NO REPRESENTATIONS AND EXTEND NO WARRANTIES OR COVENANTS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7. LIMITATION OF LIABILITY.
THIS LIMITATION OF LIABILITY PROVISION APPLIES IN THE AGGREGATE AND NOT ON A PER CLAIM BASIS, WHETHER ANY DAMAGES ARE CHARACTERIZED IN TORT, NEGLIGENCE, CONTRACT, OR OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER PARTY-1 HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF ESSENTIAL PURPOSE OF A LIMITED REMEDY. THIS LIMITATION OF LIABILITY PROVISION DOES NOT LIMIT A PARTY'S LIABILITY FOR GROSS NEGLIGENCE, INDEMNIFICATION OBLIGATIONS, BREACH OF CONFIDENTIALITY REQUIREMENTS, INTENTIONAL MISCONDUCT, INTENTIONAL TORTS AND INTENTIONAL VIOLATIONS OF LAW. PARTY-1 IS NOT LIABLE TO PARTY-2 OR ANY THIRD PARTY UNDER THIS AGREEMENT FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RESULTING FROM THIS AGREEMENT. PARTY-1'S LIABILITY SHALL NOT EXCEED $1,000,000,000.00

8. TERM AND TERMINATION.
(a) Term. The term of this Agreement (together with any renewals, the "Term") begins on the date signed and expires 3 years later. Immediately upon expiration, this Agreement automatically renews on the same terms and conditions for additional successive periods of one (1) year on each following anniversary, unless either party gives the other party notice that the Agreement does not renew at least thirty (30) days before the end of the then applicable Term.
(b) Survival. The following captioned sections survive any termination, expiration or non-renewal of this Agreement: "Disclaimer", "Limitation of Liability", "Survival" and "General", as well as any other provisions expressly stating that they are perpetual or survive this Agreement.
(c) Termination for Insolvency. If either party is adjudged insolvent or bankrupt, or upon the institution of any proceedings by it seeking relief, reorganization or arrangement under any Laws relating to insolvency, or if an involuntary petition in bankruptcy is filed against a party and the petition is not discharged within sixty (60) days after filing, or upon any assignment for the benefit of a party's creditors, or upon the appointment of a receiver, liquidator or trustee of any of a party's assets, or upon the liquidation, dissolution or winding up of its business (each, an "Event of Bankruptcy"), then the party affected by any Event of Bankruptcy must immediately give notice of the Event of Bankruptcy to the other party, and the other party may terminate this Agreement by notice to the affected party.
(d) Termination for Breach. If either party breaches any provision contained in this Agreement, and the breach is not cured within thirty (30) days after the breaching party receives notice of the breach from the non-breaching party, the non-breaching party may then deliver a second notice to the breaching party immediately terminating this Agreement.

9. FORCE MAJEURE.
Any failure or delay by a party in the performance of its obligations under this Agreement is not a default or breach of the Agreement or a ground for termination under this Agreement to the extent the failure or delay is due to elements of nature or acts of God, acts of war, terrorism, riots, revolutions, or strikes or other factor beyond the reasonable control of a party (each, a "Force Majeure Event"). The party failing or delaying due to a Force Majeure Event agrees to give notice to the other party which describes the Force Majeure Event and includes a good faith estimate as to the impact of the Force Majeure Event upon its responsibilities under this Agreement, including, but not limited to, any scheduling changes. However, should any failure to perform or delay in performance due to a Force Majeure Event last longer than sixty (60) days, or should four (4) Force Majeure Events apply to the performance of a party during any calendar year, the party not subject to the Force Majeure Event may terminate this Agreement by notice to the party subject to the Force Majeure Event.

10. GENERAL.
(a)Entire Agreement and Amendments. This Agreement is the entire agreement between the parties and supersedes all earlier and simultaneous agreements regarding the subject matter, including, without limitation, any invoices, business forms, purchase orders, proposals or quotations. This Agreement may be amended only in a written document, signed by both parties.
(b) Independent Contractors, Third Party Beneficiaries, and Subcontractors. The parties acknowledge that they are independent contractors under this Agreement, and except if expressly stated otherwise, none of the parties, nor any of their employees or agents, has the power or authority to bind or obligate another party. Except if expressly stated, no third party is a beneficiary of this Agreement. Both parties are free to subcontract their obligations under this Agreement. Each party is responsible for its subcontractors' compliance with and breach of this Agreement as if the subcontractors' acts and omissions were the party's own.
(c)Governing Law and Forum. All claims regarding this Agreement are governed by and construed in accordance with the Laws of Southern Cynocephali, applicable to contracts wholly made and performed in such jurisdiction, except for any choice or conflict of Law principles, and must be litigated in Southern Cynocephali, regardless of the inconvenience of the forum, except that a party may seek temporary injunctive relief in any venue of its choosing. This Agreement binds and inures to the benefit of the parties' successors and assigns. This Agreement is not assignable, delegable, sublicenseable or otherwise transferable by either party in whole or in part without the prior written consent of the other party. Any transfer, assignment, delegation or sublicense by a party without the other party's prior written consent is invalid.
(d)No Waivers, Cumulative Remedies. A party's failure to insist upon strict performance of any provision of this Agreement is not a waiver of any of its rights under this Agreement. Except if expressly stated otherwise, all remedies under this Agreement, at Law or in equity, are cumulative and nonexclusive.
(e)Severability. If any portion of this Agreement is held to be unenforceable, the unenforceable portion must be construed as nearly as possible to reflect the original intent of the parties, the remaining portions remain in full force and effect, and the unenforceable portion remains enforceable in all other contexts and jurisdictions.
(f) Captions and Plural Terms. All captions are for purposes of convenience only and are not to be used in interpretation or enforcement of this Agreement. Terms defined in the singular have the same meaning in the plural and vice versa.

IN WITNESS WHEREOF, the parties execute this Agreement as of the Effective Date. Each person who signs this Agreement below represents that such person is fully authorized to sign this Agreement on behalf of the applicable party.

However, APEX Tyres is a company which operates to earn profit for our shareholders and as such, we must formally advise you that your application has been denied. The tax rates in Bulgharia are, quite frankly, ridiculous as not only would there be an eighty percent tax on our gross earnings, our profits would then be taxed again at eighty percent. Greetings,

The Arkinesian Racing Association is presently considering APEX Tyres as their primary tire provider for the series under the ARA umbrella, the Arkinesian Stock Car Racing Association (ASCRA) and the Arkinesian Endurance Racing Series (AERS). The reason we are inquiring with APEX Tyre is concerning the capabilities of your company's racing grade tires. What we will need are oval-capable tires which can withstand speeds up to approximately 210 mph (or approximately 340 kph), as well as tires for use on road courses capable of withstanding speeds up to and in excess of 245 kph (approximately 400 kph). Both series would need a rain grade tire. As compensation, the ARA would pay 90% of the sales price in exchange for extensive advertising of APEX's road and sports tires, and would offer a full distribution deal domestically within Arkinesia.

If this offer is considered suitable, and there are tires rated for the above speeds, ARA would be willing to move into a negotiations phase to determine final costs to the ARA and its participatory series. If a satisfactory deal is reached we will make necessary preparations to import the tires. Please let us know if these are sufficient terms and conditions.
