Regarding Sale of Air Liberte

This is to inform you that the Board of Directors have decided to sell 100% of their stake in Air Liberte w.e.f. 14 January 2019 for the purpose of which we invite the Expression of Interest from any non-governmental company. Interested entities may post their EoI in form of a letter briefing about the said entity, the proposed bid amount and the future plans they have for Air Liberte provided the bid is successful. Though not a requirement, entities that have prior experience in the aviation sector will be preferred.

Air Liberte was established in 1996 following liberalization of Mizia Airline Regulations. The airline was listed in GE&T in 2012 and has since then expanded services to over 115 destinations with over 188 aircraft. The successful bidder will be entitled to full managerial powers of the company. More information about the airline can be found on the website.

Good evening, I hope my letter reaches you in a timely manner. I would like to express to you our interest at General Industries Corporation in purchasing Air Liberte. We do have experience in running two large international airlines - luxury-only Diamond Airways, which we have recently sold, and Royal Commonwealth Airlines, our mass-market airline.

In our proposal, Air Liberte will retain its brand identity - its naming and logo - while updating the cabin design and technology. We will be positioning Air Liberte as the premium brand to Royal Commonwealth, and will gain access to RCA's destinations and routes. Our experience in running a very successful luxury airline will go a long way in ensuring Air Liberte's continued success.

We will also guarantee no layoffs of Air Liberte's staff, with an offer of 25% of their annual income as a buy-out in areas we will be overstaffed at.

Our purchase will cover the entire Air Liberte corporation - the branding, rights, marketing, property, destinations and routes, debt, employees, so forth. Our initial bid is $47.5 billion.

We know that Air Liberte will not only succeed, but flourish under our operations. Expansion to new destinations will be a major focus, as well as reassessing current routes and possible new routes that will allow for greater profitability and reach. Marketing will be a major focus as well to grow our passenger count, and encourage greater loyalty among our customers.

Dear Sir,

My name is Sir Charles Arthur Hamilton and I am the Chairman of The Hamilton Holdings Group, LLC. The Hamilton Holdings Group, LLC is an international investment conglomerate, with investments in oil, banking, mining, construction, hotels, real estate, shipping, transport, agriculture etc. Our current business model involves not only operating fully owned subsidiaries, but also investing capital in other businesses, from which we can then make a return.

Whilst our current transport holdings comprise primarily of shipping, we believe that it would be financially beneficial to extend our holdings to the aviation industry and with that in mind, we would like this letter to serve as our formal Expression of Interest in Air Liberte. After in-depth consultations with our auditors and financial officers, we would like to make a formal offer to purchase Air Liberte, for the amount of ninety billion NationStates Dollars (NS$90,000,000,000.00). This amount shall cover the purchase of:

  • A 100% equity stake in Air Liberte (including all of its goodwill, etc.)
  • All of its current financial assets (including, but not limited to: cash, stocks, bonds, shares, investments, EFTS, etc.)
  • All of its current physical assets (land and buildings, all of it's equipment, the entire fleet, etc.)

Should our offer be accepted, we shall also take over responsibility for all of Air Liberte's debts and liabilities (in their entirety). We have devised a comprehensive plan for Air Liberte should our bid be accepted. Said plan entails the following:

Our first goal will be to rid the airline of its debt and liabilities. We have sufficient capital to pay of the debt and/or the leverage to negotiate a more favorable package for the airline, so that Air Liberte receives the "best deal" possible and is then able to expand its operations, without having a cloud of debt hanging over it. Our second goal is to dramatically expand the operations of Air Liberte. Should our offer be accepted, we will look to increase the size of the fleet by adding 25 - 50 planes every year for the next five years, and then by adding 10 - 15 planes every year for the five years following that. Our third goal, is to increase the number of the airline's routes and the number of countries the airline operates in. We have many business contacts in various sectors, and will as a result be able to negotiate for ideal routes and operating locations and rights for the airline (eg. we would like to extend the airline's operations to The Crown Federation of Recon). Of course, we would hire more personnel as and when necessary to facilitate this expansion. Our forth goal is to start a division of the airline that will specialize in short- and long-haul cargo operations. We feel that this is an incredibly lucrative market and one that has not been tapped into enough. We feel that there is plenty of potential for Air Liberte in this market, and look forward to having the opportunity to assist it in "tapping into" it. We feel that this will benefit all stakeholders (staff, shareholders, etc.) involved. We also have our own group of companies with enough resources to ensure that Air Liberte reaches it's full potential (eg. Hamilton Energies can supply jet fuel to Air Liberte for little or no cost).

Should our initial offer not be satisfactory, we would be more than willing to increase our cash offer to a maximum of one hundred and ten billion NationStates Dollars (NS$110,000,000,000.00). We are also willing to include HHG (Hamilton Holdings Group) Class B Stock (Class A ownership is restricted to members of the Hamilton Family) in our offer.

My name is Alain Peltier, and my role is the President and General Director of Arthropol Airlines S.A., a proud member of Star Alliance. Arthropol Airlines is a world leading airline, with world-class service onboard Arthropol Airlines, as well as multiple subsidiaries. Arthropol Airlines' exceptional hard and soft product alike was recently rated the best in the world, and the best in Europe, by Skytrax. Arthropol Airlines is based out of Arthropol City International Airport, the world's largest airport, and serves over 400 destinations around the world, from Albania to Zimbabwe. We believe that Air Liberte is already a world-class airline, but also has enormous potential for growth as an integral component of Arthropol Airlines.

Regarding the sale of Air Liberte, we would like to make a formal expression of interest, and make an offer to purchase Air Liberte. As such, our offer currently stands at the amount of fifty-five billion Euros (55 000 000 000,00 EUR), roughly equivalent to sixty-two billion, nine hundred and ninety-four million, and six hundred and sixty-five thousand NationStates Dollars (62 994 665 000,00 NSD), covering all assets of Air Liberte, and a 100% stake in Air Liberte, and we are ready to increase our bid to eighty-seven billion and five hundred million Euros (87 500 000 000,00 EUR), roughly equivalent to one hundred billion, three hundred and five million, and six hundred and twenty-five thousand NationStates Dollars (100 305 625 000,00 NSD).

In the case that our bid for Air Liberte is accepted, we have compiled a detailed plan for the reformation of Air Liberte. While this plan is in process, we will pay off all existing debt of Air Liberte. Firstly, Air Liberte will be given a brand new identity, with brand new four-class cabin interiors, and a brand new and modern livery, to bring it up to sync with the Arthropol Airlines group. Our next goal will be to reform Air Liberte into a truly global airline. In addition to operating in Mizialand, and to existing destinations, we will expand the airline to operate domestic and international flights within and beyond the borders of the Europe (OOC: The real place, not the NS region), serving areas not already covered by the Arthropol Airlines and the global Star Alliance network. In addition, Air Liberte will also expand to NationStates Multiverse destinations not already served by the Air Liberte network. While this goal is in progress, we will also begin a complete modernisation of the Air Liberte fleet, and replacing older aircraft with the newest and best in the sky, and expanding the fleet as the passenger and destination count grows (OOC: I have a question about this below). OOC: My question is, what variants of aircraft does Air Liberte operate? For example, with the Boeing 787 there's the 787-8, 787-9 and 787-10. Also, in my region's alternate reality roleplay scenario, we pretend the rest of NS doesn't exist, as much of it is offsite. If my purchase is successful, do you mind If I come up with an alternate story to use while RPing there? Of course I'll still use this purchase story on the forums and NS RP.

Under our ownership there are numerous of successful international companies, several of them being airlines, such as MeciFly with 102 international destinations, and its budget partner airline, Astyrian Global Airlines.
We at the Astyrian Corporation wish to expand more to the airline industry, and after thorough talks among the board members, we have decided to express our interest in obtaining 100% of shares, all of its assets and debts of Air Liberte. Thank you for your response. While we are not in a position to compete financially with Astyria Corporation, we are interested in bumping up our offer to $70 billion. In addition, we will take a 90% stake. The remaining 10% will be spread among current stake holders on a non-voting basis, at 1/10th their current ownership stake. In addition, we would like to offer Chairman Morphieus de Haan a seat in the General Industries Corporation board.

The only other change to our previous offer is that we will guarantee all current employees will remain with the company for one year - at which point, there are possible layoffs if needed. We will still offer, however, the 25% annual income-based payout to employees who wish to leave immediately in areas where we have too many employees. This will give these employees three months worth of pay to find a new career elsewhere.

FORMAL EXPRESSION OF INTEREST IN AIR LIBERTE


Dear Mr de Haan, after discussing it with our board, Astyria Corporation has agreed to increase our offer to one hundred and fifteen billion NationStates dollars (NSD 115.000.000.000,00) for 95% ownership of Air Liberte. You will retain the 5% ownership in non-voting stock for five years, at which point you will have two options - retain the ownership, or cash out at a guaranteed 10% premium over todays value. The current value would peg the 5% at six billion fifty billion NationStates dollars (NSD 6.050.000.000,00) with a 10% premium at six hundred five million NationStates dollars (NSD 605.000.000,00) for a total of six billion six hundred fifty five million NationStates dollars (NSD 6.655.000.000,00).

Our strategic plans for the Air Liberte, that we plan to fulfill within a period of 5 years, will remain the same:

Mr Turner is an expert in taking over airlines, with over a dozen of them obtained during his 17 years of service as the CEO. Mr Turner will help Astyria Corporation with his highly professional specialised integration team, lead by Tammy Martinez, that will make the process of transition more smoother for the company. Rest assured that we intend not to merge Air Liberte into any other airline, but to give it an updated face through a freshening of the brand.

Thank you for your response regarding a the sale of Air Liberte. In response to your inquiries, I would like to clear up any questions you have. Firstly, Air Liberte will remain its own airline, although it will be fully owned by Arthropol Airlines and a member of the Arthropol Airlines Group (OOC: Similar to Swiss and LH). The name of the airline will remain Air Liberte (OOC: except I will add an acute accent to make it Air Liberté, like the French word), but a new livery and logo will be introduced in the case of a successful bid, to refresh the airline's current identity. As the Arthropol Airlines Group is large and diverse, we believe that having an Air Liberte executive on the Arthropol Airlines board will allow Air Liberte's voice to be heard within the Arthropol Airlines Group. The board member will be able to bring up the desires of the airline to the whole board, and vote on decisions that impact Air Liberte.

In addition to our previously stated goals in our original letter, we will ensure continued employment of all current Air Liberte employees, for at least two years, unless they decide to leave prior to the two years is up. Employees of Air Liberte will also recieve world-class workers' rights as regulated by the Government of Arthropol.

I would also like to bring to your attention one additional benefit of being a member of the Arthropol Airlines Group. The Arthropol Airlines Group has a wide range of partnerships with many airlines and companies all over the world (OOC: Don't trust my storefront for this, it's outdated). These companies range from other airlines operating in other countries, to companies that supply the newest technology for aircraft cabins, to companies that provide jet fuel. By joining the Arthropol Airlines Group, Air Liberte will recieve all the benefits of a partnership with these companies.

Due to recent developments, the board has agreed to increase the bid for Air Liberte to one hundred billion Euros (100 000 000 000,00 EUR), equivalent to one hundred and fourteen billion, seven hundred and four million, and five hundred thousand NationStates Dollars (114 704 500 000,00 NSD).

Hello there! It seems you're fairly new to GE&T, and how things such as bidding for a world-renowned corporation work. Please note that randomly bidding a trillion dollars as a small, relatively new airline that likely is just breaking even financially at best - and more than likely just trying to get out of debt - as it expands globally for the first time, isn't generally going to get you anywhere.

Realistically, or even remotely realistically, your company likely could barely offer 1/50th at best without putting your company into bankruptcy. And there's no way your small airline would have the financial ability to even pay that - nor would any sensible bank loan you that kind of money at this time. Only a very few select companies ANYWHERE on NS could afford reaching towards or above the trillion dollar mark. Note that my own company, General Industries Corporation, with several massive international corporations, isn't even bidding $100 billion at this time.

I am simply trying to help you - be creative, but be smart. Don't just wank massive numbers that no way is even remotely possible for it at any stretch at all. Be creative, maybe go in with another 1-2 companies on a split deal where your group could maybe come up with something more realistic.

Regarding Sale of Air Liberte

This is to inform you of the final decision the Board of Directors have taken regarding the sale of Air Liberte. After much deliberations and discussion and narrowing down the bid to two final contenders viz., Arthropol Airlines and Astriya Corporation, we came to the following conclusion. The board respects the ethos of both the organisations and takes note of the great experience each of them have in running their respective successful airlines. We had no doubt that both organisations even after the sale will keep AL's best interest at the core. The choice between them was indeed a difficult one given the lucrative offers each had put to us.

On one hand we had a company that share our Francophone heritage and the aim to offer nothing but the very best to our guests. Arthropol Airlines has its fine blend of experience and similarity. On the other hand, Astriya Corporation undoubtedly one of the largest, finest, well run and diversified conglomerate listed in the GE&T. In our decision, we came to the agreement that AL would benefit from the diversified shareholdings of the Astriya Corporation and will soar to new heights with their experience in the volatile aviation industry. As such, we would like to accept Astriya Corporation's offer under the following conditions:

  • This sale is for 95% shares, all assets and debts (currently at 50 Million Euro) with 5% ownership retained by us for five years.
  • The contracts of employee shall not be terminated for a period of at least one year. *
  • AL will not merge into any airline.
  • Employees stationed in Mizialand will be governed by Her Majesty's Labour Laws and Decrees.
  • The strategic plan as discussed earlier shall be carried out.


For the above point marked * the Board would like to put forth following points, which are subject to negotiation:

  • That Termination of Contracts be postponed to a period of 2 years after which the employees who are terminated should be offered at least 3 months of pay so that they can find new jobs.
  • That no existing Unions be disbanded and the right of the workers to unionise be held sacrosanct, even for those workers not located in Mizialand and thus not covered by Her Majesty's Labour Laws.

With the negotiation of the above the sale can be finalised.

We thank all those who had shown interest in Air Liberte and we wish you all all the best for the future.
