Terms and Conditions of Sale

1.General
The supply of products to the customer shall be governed by these terms and conditions of sale, which override any differing conditions on the buyers order form or other documentation.

2. Payment
Unless otherwise agreed or negotiated with an individual customer, the customer shall pay any invoice rendered by Verlaine Corporate Industries (VCI)® within twenty four hours of its date. If the customer wishes to query an invoice, it shall raise its objection before the expiry of two days from the date of the relevant invoice.

3. Price Variation
The price charged will be that ruling on the date of dispatch and will be subject to Value Added Tax or other government duty of tax as applicable.

4. Conditions and Warranties
Verlaine Corporate Industries (VCI)® warrants that the purity of the product is not less than that laid down in the relevant standards. Whilst any recommendation relating to the use of the products made by Verlaine Corporate Industries (VCI)® in its technical literature or in response to a specific inquiry or otherwise given in good faith, it is for the customer to satisfy itself that the products are suitable for the purpose for which it intends to use them. In no circumstances shall Verlaine Corporate Industries (VCI)®'s liability to the customer extend to the customers loss of profits, loss of use or other consequential or economic losses.

5. Delivery
Dates given for dispatch or delivery are approximate. If Verlaine Corporate Industries (VCI)® is prevented from manufacturing or distributing the products by normal means through circumstances beyond its reasonable control (which includes industrial disputes, accidents and breakdown of plant and machinery) it may, without liability, cancel or delay deliveries or reduce the quantities delivered during the period it is affected by such circumstances.

6. Chemical/Gas Package
All containers, cylinders, bubblers and related packaging materials, unless otherwise stated as sold, belong to the assets of Verlaine Corporate Industries (VCI)®. Any transferrance and sale to third parties is strictly prohibited. The receiver (customer) accepts responsibility of safe keeping and returning the cylinders and bubblers in the correct packaging relative to the hazard classification and transport regulations. Each container has a unique serial number and so is traceable. Customers will be liable for extra charges if either containers, cylinders or bubblers owned by Verlaine Corporate Industries (VCI)® are returned in a reduced state and deemed unfit for application, or are not returned.

A. Consignment of product – any product/packaging that is situated at a customer site in consignment stock will be subject to an annual check by Verlaine Corporate Industries (VCI)®. When a container, cylinder or bubbler is purchased by a customer, the customer then becomes responsible for all additional charges related to that container to ensure that it is fit for use.

7. Health and Safety
Verlaine Corporate Industries (VCI)® hereby gives notice to the customer that it has available information and literature concerning the conditions necessary to ensure that the goods supplied hereunder will be safe and without risk to health when properly used. If the customer is not already in possession of literature or requires any information, or advice in connection with the safe use of goods, the customer should immediately contact Verlaine Corporate Industries (VCI)®.

8. Law
These terms and conditions shall be governed by Haruspex standard business practitioner law.

Nations, corporations etc, whom purchase from VCI will automatically be added to our sales list. This will allow after the third purchase, to become a VIP member and receive a discount to total purchase.

Dimethylaluminium hydride — (CH3)2AlH: Is a relatively new aluminum precursor. It is composed of one aluminum atom with two methyl groups (CH3) and a single hydrogen bonded to it. Sirs,

We would like to inquire as to whether Verlaine Corporate Industries would partner with Shaf Automotive Group in the production and sales through fuel stations of Hydrogen for our vehicles. Our Current idea has VCI, producing hydrogen and operating Hydrogen Filling Stations in nations selling Shaf Vehicles, with Shaf funding half of the venture and taking 45% of the profit and VCI providing the other half of the funding and taking 55% of the profit.

Verlaine Corporate Industries is very interested in this arrangement as we have vested experience in running and maintaining stations like this already in Kaldana, a colonial holding within the Imperium's domain.

The afore mentioned ratio of profit is also acceptable. We are willing to commmit to a year contract first to assess and observe the market with Shaf Automotive, at which time if the market is indeed profitable, will arrange for a long term partnership.
