Put simply, one of them (civil marriage) is the legal contract that signifies people are married. It has nothing to do with religion and doesn't have to be performed at a church.

Matrimony is just the religious ceremony. A religious rite marking marriage, if you wish. Nobody is demanding that people are allowed to get the religious ceremony performed, just the civil one.

The differences are quite simple: Civil marriage is a legal contract, provided by a judge in the name of the state, that recognizes the union between two individuals involved in a romantic relationship who seek legal recognition of said relationship, along with several legal rights (such as joint custody of children, tax benefits, spousal privilege, inheritance and hospital visitation).
